Terms & Conditions

1. Introduction
These Terms and Conditions ("Terms") govern the relationship between AP Accounting Services Limited ("we," "our," "us," or "the Company") and clients ("you," "your," or "Client") who engage our professional services. Please read these Terms carefully before engaging our services. By engaging our services, you agree to be bound by these Terms.


2. Services
2.1 The Company provides accounting, taxation, company secretarial, and financial consulting services as outlined in our service descriptions and engagement letters.
2.2 All services shall be performed with reasonable skill and care in accordance with applicable professional standards and regulations in Hong Kong.
2.3 Service-specific terms may be outlined in separate engagement letters, which shall be read in conjunction with these Terms.


3. Client Responsibilities
3.1 You agree to provide complete, accurate, and timely information necessary for the performance of our services.
3.2 You are responsible for the accuracy and completeness of all information provided to us. We will not be held responsible for errors resulting from inaccurate or incomplete information.
3.3 You agree to review all documents, reports, and filings prepared by us and promptly notify us of any discrepancies.


4. Fees and Payment
4.1 Our fees are based on the nature and complexity of services provided and will be outlined in engagement letters or service agreements.
4.2 Unless otherwise stated, payment terms are strictly 14 days from the invoice date.
4.3 We reserve the right to charge interest on overdue accounts at a rate of 1.5% per month.
4.4 We reserve the right to suspend services if payment remains outstanding beyond the due date.


5. Confidentiality
5.1 We will maintain the confidentiality of all information provided by you, except as required by law or professional standards.
5.2 We may disclose confidential information to regulatory authorities, legal advisors, or other third parties as required by law or court order.
5.3 We implement reasonable security measures to protect your information but cannot guarantee absolute security in digital transmissions.


6. Limitation of Liability
6.1 Our aggregate liability for any claims arising out of our services shall be limited to the fees paid for the specific service giving rise to the claim.
6.2 We shall not be liable for any indirect, special, consequential, or punitive damages.
6.3 Any claim must be brought within twelve (12) months of the date on which the service giving rise to the claim was performed.


7. Intellectual Property
7.1 We retain all intellectual property rights in materials, tools, methodologies, and processes used in providing our services.
7.2 Upon full payment of our fees, you are granted a non-exclusive, non-transferable license to use the deliverables provided for your internal business purposes only.


8. Termination
8.1 Either party may terminate the service agreement with 30 days' written notice.
8.2 We reserve the right to terminate services immediately if:

  • You breach these Terms or any engagement letter

  • You provide misleading or false information

  • You fail to pay fees when due

  • Continuing the engagement would result in a violation of law or professional standards

8.3 Upon termination, you shall pay all outstanding fees for services rendered prior to termination.


9. Force Majeure
9.1 Neither party shall be liable for any delay or failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, acts of government, labor disputes, and technological failures.


10. Governing Law
10.1 These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
10.2 Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.


11. Changes to Terms
11.1 We reserve the right to modify these Terms at any time. Modifications will be effective upon posting to our website.
11.2 Your continued use of our services after such modifications constitutes acceptance of the updated Terms.


12. Severability
12.1 If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.


13. Entire Agreement
13.1 These Terms, together with any engagement letter or service agreement, constitute the entire agreement between the parties regarding the subject matter and supersede all prior agreements and understandings.

By engaging AP Accounting Services Limited, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
